Overture Services, Inc.

Now Yahoo Small Business

Overture is the global leader in commercial search, offering new and more powerful ways for businesses and customers to connect on the Internet and beyond. Through its core Pay-For-Performance product, the company operates a real-time marketplace where its base of 80,000 advertisers can bid for placement in search results that Overture distributes to affiliate partners such as MSN, Yahoo!, CNN.com and InfoSpace.

Overture's unique business model offers major benefits to advertisers and affiliate partners. It enables advertisers to target millions of customers searching for products and services online; gives them control over their placement in search results; and enables them to pay the precise amount at which they value each lead. Moreover, Overture provides affiliate partners with a high quality, revenue-generating search capability, while ensuring their individual users receive targeted, relevant listings that deliver on their expressed and anticipated needs.

The strength of this platform offers significant competitive advantages on which Overture intends to build and add to its momentum in the U.S. and overseas. Overture is based in Pasadena, Calif., with offices in New York and San Francisco, and subsidiary offices in the United Kingdom, Germany, Ireland, France, Japan and South Korea.

Subsequent to the fourth quarter, Overture announced plans to acquire AltaVista Company, a pioneer in Web search technology, and the Web search unit of Fast Search & Transfer (FAST), a leading developer of search and real-time filtering technologies. Both deals are expected to close by the end of April 2002.

Overture, formerly GoTo.com, was founded in September 1997 by Bill Gross' Idealab. In June 1998, the company launched its Pay-For-Performance search service to enable advertisers to bid for search result placement on specific keywords relevant to their businesses. One year later, the company completed the initial public offering of its common stock, which commenced trading on the Nasdaq Stock Market.

Overture puts Web sites where customers are looking--in the search results on leading sites like Yahoo!, Lycos and MSN--enabling sites to reach 80% of active Internet users.
